  • GENERAL PROVISIONS

CONTRACT SAMPLE

This ‘VOCALIST RECORDING AGREEMENT’ (“Agreement”) is made by and entered into between [COMPANY NAME] (the “Company”) and [VOCALIST NAME] (the “Vocalist”), and is executed as a binding agreement as of the Effective Date (Company and Vocalist are sometimes herein referred to collectively as the “Parties” or individually as a “Party”).

BACKGROUND AND PURPOSE

WHEREAS, the Company desires to appoint the Vocalist to perform exclusive sound recording services for the Company and the Vocalist accepts such appointment on the term and conditions set forth herein;

NOW THEREFORE, in consideration of the mutual promises and other good and valuable consideration considered hereinafter, the receipt and sufficiency of which are acknowledged by the Parties, the Company and the Vocalist agree as follows:

 

ARTICLE I

  1. SERVICES

The Company hereby employs the exclusive personal services of the Vocalist for the purpose of making phonograph recordings. During the Term, the Vocalist will render Sound recording services only for the Company and will not, unless otherwise permitted under this Agreement, render sound recording services for any other party.

The Vocalist agree to record for and to the Company’s satisfaction and acceptance the composition designated and to repeat and re-record each composition as many times as may be required by the Company for the purpose of obtaining a satisfactory, acceptable, or an improved master record and matrix thereof.

The Vocalist agree and stipulate, that the recordings of the compositions designated shall include the Vocalist’s obligation to appear, to rehearse, to make the usual tests, and to comply with the instructions and directions of the Company’s musical director and recording operator.

  1. RECORDINGS

Recordings will be made at recording sessions in studios at times and places of such compositions, and together with such musicians and other performers as shall be designated by the Company. A minimum number of [AMOUNT] ([#]) record sides shall be recorded during the term hereof and additional recordings shall be made at the Company’s election whenever the Company, in the Company’s sole discretion shall consider them necessary, and each recording shall be subject to approval as satisfactory for manufacture and sale. In the event the minimum number of sides are not recorded, the Company’s liability shall be payment for such sides as though recorded by the Vocalist.

  1. EXCLUSIVITY

During the term hereof, and all extensions and renewals thereof, the Vocalist will not perform for the purpose of making phonograph records for any person, firm or corporation other than the Company, and the Vocalist will not perform any composition recorded hereunder, for any other person other than the Company, for a period of [NUMBER] ([#]) years after the Company’s recording is made; the Vocalist acknowledge that the Vocalist’s services are unique and extraordinary.

  1. MATERIALS

The Parties acknowledge and agree, that the Vocalist will be prepared with acceptable material upon request of the Company. The materials used in Recording Sessions, must be free from all claims by anyone, or the Vocalist will be liable to complaint. If the Vocalist deliberately records material belonging to someone else, then royalties are to be deducted from the Vocalist to satisfy complainant, and paid to complainant.

  1. RIGHTS GRANTED

In consideration of this agreement, and without any further consideration than as herein provided, the Vocalist hereby grant to the Company, its associates, subsidiaries, nominees, successors and assigns:

(a) The right to manufacture, advertise, sell, lease, license or otherwise use or dispose of in any and all fields of use throughout the world, or any part thereof, or to refrain there from throughout the world or any part thereof, recording and records embodying the performances to be recorded hereunder, upon such terms and conditions as the Company may approve;

(b) The right to use the Vocalist’s name and likeness and biographical material, if desires, or to refrain there from, in connection with the manufacture, exploitation and sale of any such recordings and records; and

(c) All rights in and to the recordings, matrices, tapes, and records, and the use and control thereof, upon which are reproduced the performances to be recorded hereunder.

  1. USE OF VOCALIST’S NAME

The Company shall have the right to use and to allow others to use the Vocalist’s names and likenesses and biographical material, concerning the Vocalist for advertising and purposes of trade, and otherwise in connection with the recording made hereunder.
